General Terms and Conditions of Business

I. Scope

1. These terms and conditions apply to contracts for reservations of the facilities of Allresto Flughafen München GmbH.

2. The contract shall be exclusively subject to the provisions of our General Terms and Conditions of Business. No other terms or conditions shall apply to the contract even if we do not expressly object to them.

II. Signing of the contract / liability

1. The contract shall come into effect when the signed offer is returned to Allresto by the organizer.

2. The organizer shall be responsible for any damages.

III. Services, prices, payment

1. We undertake to provide the organizer with all services specified in the contract.

2. The organizer shall pay Allresto the agreed prices for these services. This also applies to services and expenses rendered to third parties by Allresto in connection with the event.

3. If gross prices are agreed, they include the applicable statutory value added tax.

If the offer is based on net prices, the statutory value added tax must be added.

If the time between the signing of the contract and the date of the event exceeds four months and the price generally charged by the brewery for such services increases, then the contractually agreed price may be increased accordingly, but not by more than 10%.

4. Invoices are payable immediately and in full on receipt.

In case of late payment we are entitled to charge interest at five percentage points above the current prime lending rate of the Deutsche Bundesbank.

5. We reserve the right to require an appropriate advance payment at any time. The amount of the advance payment and the payment dates can be agreed in writing.

IV. Cancellation of the agreement

1.If the organizer cancels the agreement, we are authorized to charge
20% of the event costs in case of a cancellation 30 days or less before the start of the event (22 February 2009)
50% of the costs in case of a cancellation 14 days or less before the start of the event (10 March 2009)
80% of the costs in case of a cancellation seven days or less before the start of the event (17 March 2009)
100% of the costs in case of a cancellation one day or less before the start of the event (23 March 2009)

Cancellation of the agreement must be in writing.

V. Changes in the number of attendees and the event time

1. Allresto must be notified in writing at least three working days before the start of the event in case of any change in the number of attendees by more than 5%.

2. Allresto will take into account in the invoice any reduction in the number of attendees by 5% or less. In case of larger reductions, the invoiced amount will be based on the originally agreed number of attendees less 5%.

However, when banquets or previously agreed menus are ordered, the number of persons agreed in the original contract will serve as the basis for invoicing.

3. In case of an increase in the number of participants, the actual number of participants will be applied for invoicing purposes.

4. If the number of participants changes by more than 10%, Allresto is entitled to set new prices and assign other tables/rooms.

5. If the agreed times for the start and end of the event are changed without our prior consent, additional costs may be charged unless we are responsible for the scheduling change.

VI. Bringing food and beverages into the event

1. Food and beverages may not be brought in from outside.

2. Item 1) above does not apply to events for which there is a written agreement on corkage or a similar agreement.

VII. Loss or damage to property brought to the event

1. Personal items are brought into our premises at the risk of the organizer.

2. We assume no liability for loss, destruction or damage.

VIII. Final provisions

1. Any changes or additions to the contract, the acceptance of the order or the terms and conditions for events must be made in writing.

2. Unilateral changes or additions through the organizer are null and void.

3. If the organizer is a businessman or commercial entity, the place of performance and payment shall be the headquarters of Allresto.

4. The exclusive legal venue, also for disputes regarding cheques and bills of exchange, shall be Munich if the organizer is a legal entity under public law or a businessman. If the organizer does not have a generally applicable legal venue in Germany, then the legal venue shall also be Munich.

5. We apply German law.

6. If individual provisions of these General Terms and Conditions of Business are unenforceable or invalid, this shall have no effect on the validity of the remaining provisions. In all other respects, the statutory provisions shall apply.
